13F Filing Deadlines 2026–2027: Every Due Date and When Funds Actually File
Form 13F is due 45 days after each quarter ends, or the next business day when day 45 is a weekend or holiday, so the Q3 2026 deadline is Monday, November 16. AlphaScala timed 113 filings by 29 tracked managers: 78% landed on deadline day, most of them after the 4:00 p.m. close.
13F filing deadlines fall 45 calendar days after each quarter ends, moved to the next business day when day 45 is a weekend or federal holiday. The Q3 2026 Form 13F is due Monday, November 16, 2026, because November 14 is a Saturday. The 2027 deadlines are February 16, May 17, August 16 and November 15.
AlphaScala timed the 113 original 13F-HR filings that its 29 tracked managers made for the four quarters from Q3 2025 to Q2 2026. Of those 113, 88 (78%) carry the deadline itself as their EDGAR filing date. The median deadline-day filing was accepted at 4:08 p.m. Eastern, eight minutes after the New York Stock Exchange's 4:00 p.m. close. Only 24 arrived early, and 15 of those by a single business day.
For most of the managers AlphaScala tracks, the deadline is the filing date.
13F filing deadlines for 2026 and 2027
Each date below applies Rule 13f-1(a)(1) and the weekend-and-holiday rule in Exchange Act Rule 0-3(a). AlphaScala computed them from the quarter-end dates and the Office of Personnel Management's federal holiday schedule, and they match the list the SEC publishes in question 25 of its Form 13F FAQ (updated March 6, 2026).
| Holdings as of | Day 45 | 13F deadline | Days after quarter end |
|---|---|---|---|
| Dec 31, 2025 (Q4 2025) | Sat, Feb 14, 2026 | Tue, Feb 17, 2026 | 48 |
| Mar 31, 2026 (Q1 2026) | Fri, May 15, 2026 | Fri, May 15, 2026 | 45 |
| Jun 30, 2026 (Q2 2026) | Fri, Aug 14, 2026 | Fri, Aug 14, 2026 | 45 |
| Sep 30, 2026 (Q3 2026) | Sat, Nov 14, 2026 | Mon, Nov 16, 2026 | 47 |
| Dec 31, 2026 (Q4 2026) | Sun, Feb 14, 2027 | Tue, Feb 16, 2027 | 47 |
| Mar 31, 2027 (Q1 2027) | Sat, May 15, 2027 | Mon, May 17, 2027 | 47 |
| Jun 30, 2027 (Q2 2027) | Sat, Aug 14, 2027 | Mon, Aug 16, 2027 | 47 |
| Sep 30, 2027 (Q3 2027) | Sun, Nov 14, 2027 | Mon, Nov 15, 2027 | 46 |
| Dec 31, 2027 (Q4 2027) | Mon, Feb 14, 2028 | Mon, Feb 14, 2028 | 45 |
Five of the six deadlines from Q3 2026 through Q4 2027 land after day 45 because day 45 falls on a weekend. The Q4 2025 and Q4 2026 deadlines also clear Washington's Birthday, a federal holiday on Monday, February 16, 2026 and Monday, February 15, 2027, so each moves to a Tuesday.
The SEC's list runs one year further: May 15, 2028 for Q1, August 14, 2028 for Q2, November 14, 2028 (a Tuesday) for Q3 and February 14, 2029 (a Wednesday) for Q4 2028.
Why the Q3 2026 deadline is November 16, not November 14
Rule 13f-1(a)(1) requires every institutional investment manager with at least $100 million in Section 13(f) securities to file Form 13F within 45 days after the end of the calendar year and "within 45 days after the last day of each of the first three calendar quarters of the subsequent calendar year." September 30 plus 45 days is Saturday, November 14, 2026.
Rule 0-3(a) then moves the date: "if the last day on which papers can be accepted as timely filed falls on a Saturday, Sunday or holiday, such papers may be filed on the first business day following." Monday, November 16 is not a federal holiday (Veterans Day is Wednesday, November 11 in 2026), so it is the deadline.
The SEC walked through the same rule for the quarter ended December 31, 2025. Day 45 was Saturday, February 14, 2026, and "because Monday, February 16, 2026 is a holiday, the filing deadline for 4Q 2025 gets pushed to February 17, 2026, a Tuesday."
There is no extension. The FAQ says: "We do not grant any extensions, so you should not call and ask for one or write us a letter explaining that your filing will be late."
The 5:30 p.m. EDGAR cutoff
The calendar date is not the whole deadline. Under Rule 13(a)(2) of Regulation S-T, an EDGAR filing whose transmission begins on or before 5:30 p.m. Eastern is deemed filed that business day, and one that begins after 5:30 p.m. is deemed filed the next business day. Rule 13(a)(4) gives Forms 3, 4 and 5, Form 144, Schedule 14N and Schedules 13D and 13G a 10 p.m. cutoff instead. Form 13F is not on that list.
Two filings in AlphaScala's sample show the cutoff at work. Elliott Investment Management's Q4 2025 13F was accepted by EDGAR at 5:52 p.m. ET on February 17, 2026, the deadline day, and carries a filing date of February 18. Marshall Wace's Q1 2026 13F was accepted at 5:45 p.m. on May 14, 2026 and is dated May 15, which was the deadline, so it was still on time.
EDGAR's filing index shows when a submission was accepted, not when its transmission began, so an acceptance time alone does not prove which side of 5:30 p.m. a filing started on. Both late-evening acceptances in the sample rolled to the next business day.
When funds actually file their 13F: 113 filings timed
AlphaScala's hedge fund 13F tracker follows 29 managers. For each one, we took every original 13F-HR (amendments excluded) for the quarters ended September 30, 2025, December 31, 2025, March 31, 2026 and June 30, 2026 from our filings table, then read the filing date and the acceptance timestamp from each filing's EDGAR index page on October 22, 2026. Scion Asset Management filed only for Q3 2025 in that window, so the sample is 113 filings rather than 116. Pershing Square's Q2 2026 holdings were reported by Pershing Square, Inc., and its 13F-HR is counted here; the management company filed a 13F notice (13F-NT) naming Pershing Square, Inc. as the reporting manager.
| Quarter (deadline) | Filings | On deadline day | Early | After deadline | Median days after quarter end |
|---|---|---|---|---|---|
| Q3 2025 (Fri, Nov 14, 2025) | 29 | 21 | 8 | 0 | 45 |
| Q4 2025 (Tue, Feb 17, 2026) | 28 | 19 | 8 | 1 | 48 |
| Q1 2026 (Fri, May 15, 2026) | 28 | 24 | 4 | 0 | 45 |
| Q2 2026 (Fri, Aug 14, 2026) | 28 | 24 | 4 | 0 | 45 |
| All four quarters | 113 | 88 (78%) | 24 (21%) | 1 (1%) | 45 |
Eighteen of the 28 managers with four filings in the window filed on deadline day every time, among them Berkshire Hathaway, Citadel, Pershing Square and Duquesne Family Office. Berkshire's four filings were all accepted between 4:05 and 4:06 p.m.
Three of the 28 four-filing managers filed early in every quarter. Baupost Group filed 44 days after each quarter end, one business day before every deadline. Renaissance Technologies filed one or two business days early in all four quarters, and Hussman Investment Trust filed between 33 and 41 days after quarter end. ARK Invest filed early in three quarters and on deadline day for Q2 2026.
Elliott's filing was among the last three accepted in every quarter, and the very last in Q3 2025 and Q4 2025. The single filing dated after a deadline in the whole sample is its Q4 2025 report.
What time of day 13F filings arrive
EDGAR accepted 87 of the 88 deadline-day filings on the deadline day itself (Marshall Wace's came in the evening before), and most arrived in the hour after the 4:00 p.m. close of the NYSE core session.
| Accepted (Eastern) | Filings | Share |
|---|---|---|
| Before 2:00 p.m. | 1 | 1.1% |
| 2:00–3:59 p.m. | 10 | 11.5% |
| 4:00–4:59 p.m. | 71 | 81.6% |
| 5:00–5:30 p.m. | 5 | 5.7% |
The median acceptance time was 4:08 p.m., and 39 of the 87 were accepted before 4:15 p.m. Two managers filed during market hours in every quarter. Tiger Global's four filings were accepted between 2:01 and 2:13 p.m. on each deadline day, and Duquesne's between 2:44 and 3:55 p.m.

How old a 13F is when it becomes public
A 13F reports what a manager held at the end of the quarter. Form 13F's instructions value each position "at the close of trading on the last trading day of the calendar year or quarter." Filed on deadline day, as 78% of the sample was, that snapshot is 45 to 48 days old when it appears, and the Q3 2026 snapshot will be 47 days old on November 16.
The gap for a single position can be far longer. A stake opened on July 1, 2026 and still held on September 30 becomes public in a deadline-day filing on November 16, 138 days later. A position opened and closed inside one quarter never appears at all. Short positions are excluded too: question 41 of the SEC's FAQ says "You should not include short positions on Form 13F."
Some holdings arrive months after the deadline. A manager can ask the SEC to keep a position confidential, and the FAQ (question 57a) says managers may initially request "three months, six months, nine months, or one year," measured from the required quarterly filing date. Once confidential treatment expires or is denied, the manager has six business days to file an amendment that adds the holding. Blackstone filed two such amendments for its September 30, 2025 holdings, both marked "Confidential Treatment Expired" on the cover page:
- May 15, 2026, 227 days after the quarter end: 80,000 CyberArk Software shares ($38.7 million) and 428,322 Liberty Broadband Series C shares ($27.2 million).
- August 14, 2026, 318 days after the quarter end: 250,000 Chart Industries shares ($50.0 million) and 50,000 Electronic Arts shares ($10.1 million).
Original filings can also be replaced. Citadel filed a restatement of its Q2 2026 13F 19 days after the August 14 deadline. EDGAR accepted it at 6:14 p.m. on September 1, 2026, after the 5:30 p.m. cutoff, so it carries a September 2 filing date. Under Rule 13f-1(a)(2), any amendment other than one adding new holdings must set out the complete text of the form.
Each fund page on the 13F tracker prints both dates at the top of the portfolio, for example "Positions as of Q2 2026 (quarter ended Jun 30, 2026), filed with the SEC on Aug 14, 2026" for Berkshire Hathaway.
Faster disclosures: Form 4 and congressional PTRs
| Filing | Who files | Deadline | Rule |
|---|---|---|---|
| Form 4 | Directors and officers, and owners of more than 10% of a registered class of the company's stock | Before the end of the second business day after the trade | Exchange Act Rule 16a-3(g)(1) |
| Form 13F | Managers with $100 million or more in Section 13(f) securities | 45 days after quarter end, or the next business day if day 45 is a weekend or holiday | Rule 13f-1(a)(1) and Rule 0-3(a) |
| Periodic Transaction Report (PTR) | Members of Congress, among others | 30 days after notice of the trade, and no later than 45 days after it | 5 U.S.C. 13105(l) |
A Form 4 is due within two business days of an insider's trade, which is why AlphaScala's insider cluster buys page can list purchases from the past 30 days while the 13F tracker shows quarter-end positions. Congressional trades sit in between. On AlphaScala's STOCK Act late-filings page, the median House trade since January 1, 2023 was reported 27 days after it happened, and one in ten took 60 days or longer (House PTR filings as of October 20, 2026). The newest House disclosures are on the congressional trades feed.
None of these filings is a trade signal by itself: holdings may have changed since the reporting date, and trading on disclosed positions puts your capital at risk.
FAQ
When is the Q3 2026 13F filing deadline?
Monday, November 16, 2026. Day 45 after the September 30 quarter end is Saturday, November 14, and Exchange Act Rule 0-3(a) moves a deadline that falls on a weekend or federal holiday to the next business day. A filing has to begin transmission by 5:30 p.m. Eastern that day to carry a November 16 filing date.
When are 13F filings due in 2027?
February 16 for Q4 2026, May 17 for Q1 2027, August 16 for Q2 2027 and November 15 for Q3 2027. The Q4 2027 report is due Monday, February 14, 2028. The SEC lists the same dates in question 25 of its Form 13F FAQ.
What time of day are 13F filings released?
Mostly after the stock market closes. Of the 87 deadline-day filings in AlphaScala's Q3 2025 to Q2 2026 sample that EDGAR accepted on the deadline day, 71 were accepted between 4:00 and 4:59 p.m. Eastern, and the median was 4:08 p.m. A submission that begins after 5:30 p.m. is dated the next business day.
Can a fund get an extension on its 13F?
No. The SEC's Form 13F FAQ says "We do not grant any extensions" and tells a late filer to "submit your filing as soon as possible after the filing deadline." Holdings can still be added later by amendment, for example when confidential treatment expires.
Does a 13F show what a fund owns today?
No. It shows long positions in Section 13(f) securities as of the last trading day of the quarter, and the median filing in AlphaScala's sample of 113 arrived 45 days after quarter end. Short positions are excluded, and a position bought after the quarter end shows up only if it is still held at the next quarter end.
