Vivakor (VIVK) and M2i Global (MTWO) signed a non-binding indication of interest to evaluate a business combination that would merge commodities trading, remediation and critical minerals operations into a single U.S.-focused supply chain platform.
The 30-day negotiation period covers valuation, transaction structure and board composition. The IOI contemplates an equity-exchange acquisition of M2i by Vivakor, though the companies said they remain open to alternative deal structures. If the talks advance, the parties would move to a more comprehensive letter of intent.
Vivakor provides oilfield trucking, crude oil gathering, storage and remediation services across the continental United States. M2i runs a critical materials infrastructure platform that includes a federally sited mineral repository initiative, multi-commodity processing capabilities and compliance systems for defense supply chains.
"Our team has been closely following M2i since 2025, and we believe there are compelling strategic synergies between our organizations," Vivakor Chairman and CEO James Ballengee said in the statement. He said critical minerals "represent a natural extension of the platform we are building."
M2i CEO Major General (Ret.) Alberto Rosende said the Vivakor leadership team had "impressed" him with its ability to reposition the business for growth across commodities trading and remediation.
The IOI is non-binding except for certain specified provisions. Any transaction remains subject to due diligence, definitive agreements, regulatory approvals and customary closing conditions. There is no assurance the discussions will produce a definitive agreement or a completed deal.
M2i shares trade on the OTCQB market. Vivakor is listed on Nasdaq. Neither company disclosed financial terms or valuation ranges for the proposed combination.
The companies cited the U.S. critical minerals supply chain as the strategic driver. M2i's platform includes a Critical Mineral Repository initiative aimed at addressing what the company described as a global shortage of essential minerals and metals for national defense and economic security.
Vivakor's remediation facilities, once operational, are designed to recover and reuse petroleum byproducts and oilfield waste. The combined platform would span commodity marketing, resource recovery and critical materials supply chain development, the companies said.
