
Roelof Botha joins SpaceX's board days after its IPO. Sequoia's $35B stake gives it little sway as Musk holds 82% voting control. The audit committee role offers a first test of board independence.
SpaceX added Sequoia Capital's Roelof Botha to its board of directors, effective Wednesday, the company disclosed in a filing. Botha will serve as an independent director and join the audit committee. The appointment comes less than a week after SpaceX completed its record initial public offering.
Botha has known Elon Musk for more than two decades. Musk recruited him to PayPal in 2000. Both men are from South Africa. Since 2003, Botha worked at venture firm Sequoia, rising to managing director in 2022 before stepping down last year. He now advises the firm and is listed on its website as part of the seed, early-stage and growth teams.
Sequoia first invested in SpaceX in 2019 and added to its position over subsequent rounds. The firm now holds a stake of just under 1.5%, valued at roughly $35 billion. Sequoia partner Shaun Maguire is the principal lead investor in SpaceX. Maguire told CNBC on Friday, as SpaceX began trading on the Nasdaq, that Sequoia will distribute some shares to investors "if we feel like the valuation is way ahead of its skis." Maguire added, "as an individual, I'm going to hold my shares forever."
Botha is not representing Sequoia on the board, the filing said. He is also related to an unnamed SpaceX employee.
The governance structure at SpaceX leaves outside shareholders with minimal influence. Musk controls more than 82% of voting rights and owns shares valued at over $1 trillion. That concentrated power means the board addition does little to shift the balance of control.
Botha's appointment comes with some recent controversy. The Financial Times reported that colleagues criticized his management style during his final years at Sequoia and that he stirred tensions with some investors by defending remarks Maguire made that were widely described as Islamaphobic. A Sequoia spokesperson declined to comment. SpaceX did not respond to a request for comment.
The filing also said Botha is related to a SpaceX employee. It did not name the person.
