A second stage adds C$1 million in exploration, another C$500,000 cash, and 300,000 shares for a 90% interest. The final 10% costs another C$500,000 and 400,000 shares.
If Medaro does not complete stage one, its 50% joint venture interest in the newly formed Swedish entity transfers back to Sinclair, giving Sinclair full control again. The structure also includes a 1% net smelter return royalty when Medaro reaches 90%, stepping up to 2% if Medaro takes the whole project.
Sinclair's joint venture interest is free-carried by Medaro through to delivery of a Mineral Resource Estimate, and Medaro will run the joint venture.
Chief executive Jeff Sansom said the agreement lets Sala develop while Sinclair and its shareholders keep upside exposure. "At the same time, it allows us to remain firmly focused on growing and advancing the Mt Henry gold project," he said.

The project holds total mineral resources of 24.5 million tonnes at 1.2 grams per tonne for 915,000 ounces across Mt Henry, Selene, North Scotia, and stockpiles. The resource sits within a 16-kilometre mineralised corridor on granted mining leases, with mineralisation open along strike and down dip.
Any cash Sinclair receives from the Sala deal will go toward Mt Henry exploration and working capital.
The transaction needs third-party and regulatory approvals, with completion expected before the fourth quarter of FY27.
