NeoGenomics (NEO) priced a $275 million offering of convertible senior notes due 2032. The company plans to use the proceeds to refinance its existing 2028 convertible notes and fund share repurchases.
The notes carry a 4.25% coupon, the same rate as the 2028 notes they replace. They are convertible into NeoGenomics common stock at a premium of roughly 30% above the reference price set at pricing, the company said. The offering gives NeoGenomics eight more years to maturity while keeping the same interest cost.
Buybacks are the other half of the plan. NeoGenomics said it intends to repurchase about $50 million of its common stock concurrently, partly hedging the dilution from the notes' conversion feature. The combination reduces the net equity exposure from the offering while signaling management's view that the stock is undervalued.
The refinancing pushes out a debt maturity wall. The 2028 notes were coming due in four years, and NeoGenomics faces no senior bond maturities until 2032 after this exchange. That buys the diagnostics company time to generate operating cash flow from its precision oncology testing business without the pressure of an early redemption.
Convertible offerings carry dilution risk if the stock appreciates. The 2032 notes can be settled in cash or shares at NeoGenomics' election. Full conversion would add roughly 6% to the diluted share count at current prices, based on the conversion premium. The buyback offsets about a third of that dilution, the company estimated.
The move comes as NeoGenomics works toward profitability. The company reported a narrower net loss in the most recent quarter and has guided for positive adjusted EBITDA by the end of the year. Lower debt service costs from the longer maturity profile help that timeline.
