
McFarlane Lake Mining takes a 19.9% stake in iMetal Resources for C$1.42M, gaining a board seat and technical oversight on adjacent Ontario gold properties.

McFarlane Lake Mining Ltd. (CSE: MLM, OTC: MLMLF) agreed to buy 14.2 million units of iMetal Resources Inc. at C$0.10 each, for a total investment of C$1.42 million. The deal, expected to close later this month, will give McFarlane a 19.9% stake in the Toronto-listed junior explorer.
Each unit consists of one iMetal share and a warrant to buy another share at C$0.175 for three years. iMetal can accelerate the warrant expiry if its stock trades above C$0.40 for 20 consecutive sessions. The transaction still needs final approval from the TSX Venture Exchange and the Canadian Securities Exchange.
The two companies' land positions overlap around the Abitibi Greenstone Belt in Ontario. McFarlane's Juby Gold Project covers about 5,500 hectares; iMetal's claims add another 7,500 hectares to the east, south, and north. The strategic investment comes with an investor rights agreement that gives McFarlane a board seat, the ability to maintain its pro rata stake in future equity issuances, and technical oversight on iMetal's Gowganda property.
"This creates an opportunity for both companies and allows interests to be more aligned in exploring geological trends in this area," McFarlane CEO Mark Trevisiol said in a statement.
McFarlane's flagship Juby Gold Project hosts a NI 43-101 compliant resource of 1.01 million ounces of gold in the indicated category at 0.98 grams per tonne, plus 3.17 million ounces inferred at 0.89 g/t, based on a US$2,500-per-ounce gold price. At a higher price of US$3,750 per ounce, the indicated resource rises to 1.2 million ounces and inferred to 4.23 million ounces.
The company also renewed its marketing services agreement with The Market Link for a four-month term starting July 26, paying US$110,000 in cash. No securities were issued as compensation, and Market Link has no direct or indirect interest in McFarlane's shares.
