Martin Marietta Materials (NYSE: MLM) said Wednesday it has secured all regulatory clearances needed for its acquisition of Lhoist North America. The company expects the deal to close in the third quarter, subject to standard conditions.
The combination would make Martin Marietta the largest U.S. producer of lime and limestone solutions. The company already runs a network of quarries and processing plants across 29 states, Canada and the Bahamas.
Lhoist North America brings a complementary set of high-purity lime and dolomitic assets, mostly in the central and eastern U.S. Martin Marietta's existing specialties business already supplies magnesia and lime products for environmental, industrial and agricultural uses.
The transaction was first announced earlier this year. Financial terms were not disclosed in the update.
Martin Marietta's Alpha Score sits at 44 out of 100, a Mixed rating. The stock page is available here.
The company said the deal remains on track despite a heavy regulatory calendar for construction materials M&A this year. Martin Marietta's forward-looking statements in the release cautioned that closing risks remain, including the possibility that conditions are not satisfied.
A further list of risks appears in the company's annual and quarterly SEC filings.
