Greenridge Exploration has secured a $3.0 million private placement from a Southeast Asian energy conglomerate, giving the investor a 17.17% stake in the junior miner. The deal, announced Monday, is structured as 13,111,888 units at C$0.2288 each, with each unit consisting of one common share and a half-warrant exercisable at C$0.34 for 36 months.
The company plans to use the proceeds for working capital and to accelerate exploration on its portfolio of 22 projects, including 13 uranium properties covering roughly 167,573 hectares in Canada. Greenridge is one of the larger uranium landholders in the country by claim area, with additional exposure to gold, nickel, copper, and cobalt.
Russell Starr, Greenridge's CEO, said the investment reflects the conglomerate's confidence in the team and the project pipeline. "This $3.0 million private placement reflects the confidence that this leading South Asian conglomerate has placed in our team and our portfolio of mineral projects," he said in the release. The backer is described as a well-established entity with extensive interests in the global energy sector.
The investor will also get board observer rights and a pro-rata participation right in future financings, provided it maintains at least a 5% ownership stake. The deal is subject to a sale-and-purchase agreement under a standard investment license application in the investor's home country, plus approvals from the Canadian Securities Exchange and shareholders.
No finder's fees are payable on the placement. The securities are not registered under U.S. securities laws and cannot be offered or sold in the United States unless exempt.
Greenridge, listed on the CSE under GXP and on the OTCQB as GXPLF, has one of the largest uranium property portfolios in Canada, with 13 projects covering approximately 167,573 hectares.
