
Grasim boosted its stake in Aditya Birla Capital to 52.30% with a ₹2,879 crore preferential issue. IFC invested ₹919 crore at the same price.
Grasim Industries poured ₹2,879 crore into Aditya Birla Capital through a preferential share allotment on June 23, nudging its stake from 52.27% to 52.30%. The company received 8.09 crore equity shares at ₹356 each, with a premium of ₹346 per share, Aditya Birla Capital said in a regulatory filing.
Two other participants joined the issue on the same terms. Suryaja Investments Pte Ltd, a promoter-group entity based in Singapore, bought 56.18 lakh shares for about ₹200 crore. International Finance Corporation, a multilateral lender, acquired 2.58 crore shares at the same ₹356 price, investing roughly ₹919 crore.
The allotments will lift Aditya Birla Capital's paid-up equity capital from ₹2,622 crore to ₹2,734 crore, the company said.
Aditya Birla Capital, a non-banking financial company, reported consolidated turnover of ₹45,509 crore in FY26, up from ₹40,590 crore a year earlier. The preferential price of ₹356 per share sets a floor for the promoter group's valuation in this round.
The incremental stake gain is tiny – just three basis points – but the combined outlay from all investors comes to about ₹3,998 crore. That capital hits the balance sheet as equity, not debt, which strengthens the company's capital adequacy ratios without adding leverage.
IFC's participation carries weight. The multilateral lender typically invests at prices that reflect arm's-length negotiation. Its willingness to pay ₹356 a share suggests outside capital found the terms acceptable. The promoter group, already holding a majority, reinforced its commitment by participating through Suryaja.
The new shares represent roughly 3% of the existing outstanding count, which will dilute earnings per share modestly. A company that reported FY26 turnover of ₹45,509 crore and is adding equity capital is signaling growth ambitions, not a defensive recapitalization.
The allotments were completed on June 23. Aditya Birla Capital's paid-up capital now stands at ₹2,734 crore.
