
Goldera Exploration begins trading Aug 5 on TSX-V under GERA. Spin-out from Fancamp unlocks $5.5M for Egan Gold and Acadian Copper-Gold projects. Half of shares locked up until 2027.
Fancamp Exploration Ltd. completed its court-approved spin-out of exploration assets into Goldera Exploration Ltd., a new TSX Venture-listed company. Goldera shares start trading August 5 under the symbol GERA. Fancamp, renamed ERDA Resource Opportunities Inc., begins trading the same day under ERDA.
The transaction gives Goldera roughly $5.5 million in gross proceeds from a concurrent private placement. That money will fund drilling at the flagship Egan Gold project in Ontario's Abitibi Greenstone Belt and work at the Acadian Gold Corp. joint venture in New Brunswick's gold-copper district.
Fancamp shareholders received one new Fancamp share and one-seventh of a Goldera share for each existing share. Fancamp itself ended up holding about 17.7% of Goldera after conversion of subscription receipts.
Not all Goldera shares are liquid immediately. Half of the shares issued to Fancamp shareholders are locked up. Ten percent comes free January 30, 2027, another 20% on July 30, 2027, and another 20% on January 30, 2028.
The $5.5 Million Financing and Warrant Structure
The private placement raised money through three subscription-receipt tranches: 14.4 million non-flow-through units at $0.20 each, 5.7 million flow-through units at $0.23, and 5 million charity flow-through units at $0.26. Each subscription receipt converted into one share and one warrant, except the flow-through warrants are also flow-through for Canadian tax purposes.
The warrants are exercisable at $0.30 for three years. Goldera can force early exercise on 30 business days' notice if the stock closes at or above $0.50 for 14 consecutive trading days.
Goldera paid $117,562 in finder's fees and issued 554,314 finder's warrants at the same $0.30 exercise price.
Rajesh Sharma, president and CEO of Fancamp, called the deal "a significant milestone in our strategy to unlock shareholder value by creating two focused public companies." He said the structure "enhances strategic focus, improves market visibility and creates a stronger platform for long-term growth."
The flow-through proceeds will be used for Canadian exploration expenses renounced to subscribers effective December 31, 2026. The non-flow-through funds go to general corporate and working capital.
Goldera's portfolio includes district-scale gold and copper projects in Ontario, Quebec, New Brunswick, and the Yukon. The company cited support from existing Fancamp shareholders including Ashwath Mehra and Rick Rule, plus new investors.
The restricted share schedule and the warrant overhang mean selling pressure could appear as early as late January 2027. The accelerated-expiry provision at $0.50, a 67% premium to the warrant strike, would clear the warrants quickly if triggered but would dilute current holders by about 20% at the current share count.
