Goldera Exploration Ltd. (TSX-V: GERA) will invest C$200,000 in Gold Orogen Resources Corp. as part of a settlement agreement, the company said Thursday. The deal buys 2.5 million units at C$0.08 each, each unit carrying one common share and one warrant. Each warrant lets the holder buy another share at C$0.10 for 36 months. Gold Orogen can accelerate the warrant expiry if its shares close at C$0.25 or higher for 10 consecutive trading days, with 30 days' notice.
The investment stems from a settlement agreement first announced July 9 among Goldera, its former parent Fancamp Exploration (now ERDA Resource Opportunities), Gold Orogen, and Lode Gold Resources. Gold Orogen is Goldera's joint venture partner in Acadian Gold Corp., which operates the Acadian Gold Joint Venture in New Brunswick. Under the settlement, Gold Orogen will transfer 15% of its Acadian shares to Goldera, pushing Goldera's stake in Acadian to 65%.
The independent directors of Goldera's board approved the investment.
The structure is typical for junior explorers. Private placements priced well below market – here, C$0.08 per unit – give the issuer working capital while the warrant component offers upside for the investor if the stock rallies.
