Gold Reserve Ltd. (TSX.V: GRZ, BSX: GRZ.BH, OTCQX: GDRZF) plans to make fresh settlement offers to holders of its contingent value rights and participants in its 2012 bonus plan, the company said Thursday. The proposed offers will follow substantially the same terms as earlier settlement offers made earlier in 2026.
The company also intends to offer holders of options expiring in February 2027 a chance to surrender them for a cash payment at a discount to the market price. Further details on timing and terms are expected in the fourth quarter of 2026.
Gold Reserve's board has approved amendments to its equity incentive plan. The changes would increase the maximum number of common shares reserved for issuance under the plan to roughly 15% of the company's outstanding shares, permit grants of equity-based awards beyond standard options, and allow holders of all outstanding stock options – including those granted before the amendment – to exercise them on a cashless or net exercise basis.
The amendments are subject to shareholder approval at the annual general meeting scheduled for Nov. 5, 2026. The TSX Venture Exchange and Bermuda Stock Exchange must also accept the changes. A management information circular with additional details will be filed on SEDAR+ and mailed to shareholders.
The board also granted 100,000 stock options to the company's chief development officer. The options are exercisable for five years at $4.56 per share, issued under the equity incentive plan and in line with exchange requirements.
