
Equinox Gold closes Orla Mining merger, creating a North American senior gold producer with 1M+ oz guidance. CEO Darren Hall to retire by Oct 2026, Jason Simpson to take over.
Equinox Gold closed its combination with Orla Mining, creating a new North American senior gold producer with a 2026 production target of more than 1 million ounces. The all-stock deal, announced earlier this year, positions the combined company with three long-life mines in Canada generating over 60% of output, supplemented by assets in the United States and Mexico.
Ross Beaty, who founded Equinox Gold eight years ago, stepped down as chairman and was appointed chairman emeritus and special advisor to the board. “When we founded Equinox Gold just over eight years ago, we set out to build a company that would become a leading gold producer,” Beaty said in the release. He called the merger with Orla a “culmination” of that vision.
Chuck Jeannes, former CEO of Goldcorp, takes over as chairman. “The completion of this combination marks the beginning of an exciting new chapter for Equinox Gold,” Jeannes said. He noted that the combined company has “a strong foundation of high-quality, long-life gold operations” and a pipeline of growth projects, along with the financial strength to create long-term value.
Darren Hall, who has been Equinox Gold’s CEO, will retire effective Oct. 31, 2026. President Jason Simpson will succeed him after a three-month transition period. Jeannes said the company needs “stability in leadership” following the “extraordinary growth” of the past year and the completion of the merger. Hall called building the company “the privilege of my career” and said he is confident Simpson will lead the company through “an exceptional next chapter.”
Simpson previously led Orla Mining, where he worked closely with Jeannes. The incoming chairman said Simpson “understands the business and has earned the respect of teams across the organization.”
The reconstituted board includes 11 directors: Jeannes (chairman), Lenard Boggio (lead director), Tamara Brown, Omaya Elguindi, Douglas Forster, Darren Hall (CEO), Blayne Johnson, Rob Krcmarov, Jason Simpson (president), David Stephens and Mike Vint.
Equinox Gold intends to delist Orla shares from the Toronto Stock Exchange and NYSE American, and to end Orla’s public reporting obligations. Orla shareholders who held shares in online or brokerage accounts will see them automatically convert to Equinox Gold shares within roughly two weeks. Those with physical certificates or DRS statements must submit a letter of transmittal to Computershare.
BMO Capital Markets acted as financial advisor to Equinox Gold and provided a fairness opinion. CIBC World Markets provided a fixed-fee fairness opinion. Legal advisors included Blake, Cassels & Graydon for Canada and Paul, Weiss for the U.S. Trinity Advisors Corporation advised Orla, with Scotiabank and Fort Capital providing fairness opinions to Orla’s special committee.
