Cygnus Metals has registered the scheme booklet for its proposed acquisition by Central Asia Metals, setting a shareholder vote for Sept. 18.
Grant Thornton, the independent expert appointed by Cygnus, said the deal is fair and reasonable and in the best interests of shareholders in the absence of a superior proposal. The board unanimously recommends shareholders vote in favour. Each director intends to vote their own shares that way, subject to the same condition.
The scheme booklet, registered with ASIC on Aug. 13, contains full details of the transaction, the independent expert's report, and voting instructions. It is available on SEDAR, the company's website, and the ASX announcements platform.
Under the scheme, Central Asia Metals will acquire all Cygnus shares. Cygnus is a diversified critical minerals explorer with copper-gold projects in Quebec and lithium assets in the James Bay district.
The scheme meeting will be held at Hamilton Locke in Perth at 2:00 p.m. AWST on Sept. 18. Shareholders on the register as of 5:00 p.m. AWST on Sept. 16 are entitled to vote. The company has set up a scheme information line for shareholder questions.
Cygnus shareholders registered by Sept. 16 are entitled to vote at the meeting.
