Brixton Metals Corporation (TSX-V: BBB, OTCQX: BBBXF) has closed the first tranche of its non-brokered private placement, issuing 6,779,767 units at C$0.66 per unit for gross proceeds of C$4,474,646.22, the company said Friday.
Each unit consists of one common share and one warrant exercisable at C$0.90 until Aug. 15, 2029. The warrants carry an accelerated expiry: if the shares close at or above C$1.40 for ten consecutive trading days, the company can force exercise within ten days of a press release announcing the acceleration.
Proceeds will fund exploration at the Langis Silver Project in Ontario and general working capital. The securities are subject to a hold period expiring Dec. 15, 2026. Brixton plans a final tranche and will provide details when complete.
Brixton paid finders' fees of $125,146.56 and issued 189,616 finders' warrants, exercisable at C$0.66 until Aug. 15, 2029, with the same acceleration terms.
Directors, officers, and affiliates subscribed for 238,000 units, a related-party transaction under MI 61-101. The company relied on exemptions from valuation and minority approval because the shares are not listed on a specified market and the insider consideration is under 25% of market capitalization. Brixton did not file a material change report 21 days before closing because insider participation was not confirmed until later.
The Langis project, a past-producing silver mine in the Cobalt camp, is the focus of Brixton's near-term exploration. The company also holds the Thorn and Atlin gold-copper projects in British Columbia.
