
Banzai International launched a $1M baby shelf stock offering Thursday. The marketing tech company's shares fell 6% after hours. Aegis Capital is sole book-runner.
Banzai International kicked off an underwritten public offering of up to $1 million in Class A common stock Thursday, the marketing technology company said. The deal falls under the company's effective shelf registration on Form S-3. So-called baby shelf rules cap the total Banzai can sell. Those rules apply when a company's public float is below $75 million and limit aggregate sales to no more than one-third of that float over a 12-month period.
Aegis Capital Corp. is sole book-running manager. Banzai plans to use net proceeds for working capital and general corporate purposes, a standard description. The company has not set a completion date; the offering remains subject to market conditions and the filing of a final prospectus supplement.
Banzai, which bills itself as an AI-powered marketing and sales platform, counts Amazon, Dell, Salesforce and RBC Wealth Management among its more than 150,000 customers. The company went public via a merger with a SPAC in 2022 and has since funded operations through equity sales. The $1 million size of this offering is small relative to the company's market cap, which sat around $15 million before the announcement.
Investors have seen Banzai shares drift lower over the past year as the company reported recurring losses and negative cash flow. The company's most recent 10-Q showed accumulated deficit of roughly $85 million. A baby shelf offering does not require shareholder approval, giving management flexibility to raise small amounts opportunistically when the stock price and trading volume permit.
