Anthropic is preparing to state anti-AI sentiment as a formal risk factor in its IPO prospectus, according to people familiar with the matter.
The Claude creator has held preliminary "test-the-water" meetings with bankers and investors in San Francisco, the people said, speaking on condition of anonymity because the sessions are confidential. In those meetings, CFO Krishna Rao is fielding questions about competition, margin pressure from open-source models, and what happens if data-center construction slows.
Anthropic confidentially filed to go public in June. The offering could top Elon Musk's SpaceX IPO, which raised $85.7 billion two months ago and is the largest on record. Investors project Anthropic could float at a valuation of roughly $2 trillion, the people said.
Like rival OpenAI, Anthropic has pushed infrastructure partners to build at breakneck speed to meet demand for advanced models and new services. Tech's hyperscalers are spending hundreds of billions of dollars this year on capital expenditures for data-center development and the graphics processing units to fill them.
Public sentiment is running the other way. A Gallup survey published in May found seven in 10 Americans opposed AI data-center construction in their area, with close to half "strongly opposed." Roughly a quarter of those surveyed were in favor, Gallup said.
With midterm elections less than three months away, politicians on both sides have pushed back on data-center development, reflecting constituent anger. The issue featured in Florida's Republican gubernatorial primary Tuesday, won by Rep. Byron Donalds, who has proposed restrictions on data centers in Florida. The same day, Pennsylvania Democratic Gov. Josh Shapiro signed an executive order imposing harsh standards on data-center development in his state.
Companies must disclose risk factors in their prospectus as investor protections and legal disclosures. SpaceX wrote in its risk factors that "adverse global macroeconomic and geopolitical conditions may negatively affect our business, financial condition, results of operations and future prospects."
Compute capacity is directly correlated to revenue for AI labs like Anthropic, which is valued at close to $1 trillion in the private market. A slowdown in data-center construction could dent the historic growth rate for a company that recently topped a $65 billion annual revenue run rate, as CNBC previously reported.
