Stone Point and Genstar each take equal stakes in the $1.3T retirement-savings firm, with new capital for technology and acquisitions. GIC keeps its minority share.
Stone Point Capital and Genstar Capital will each take an equal ownership stake in Ascensus, the largest independent provider of tax-advantaged savings accounts, the firms said Monday. The deal includes new capital from both private equity firms.
Ascensus, based in Dresher, Pa., oversees more than $1.3 trillion in assets under administration across 401(k) plans, 529 college savings accounts, health savings accounts, and pooled employer plans. It serves roughly 16 million savers.
Stone Point first took majority control of Ascensus in 2021, buying out Genstar and Aquiline Capital Partners at the time. Singapore sovereign wealth fund GIC joined that deal as a minority investor and will keep its minority stake under the new structure, the announcement said.
Genstar is returning to the ownership group for the first time since that 2021 buyout. The firms expect to close the transaction in the coming months.
“Stone Point’s decision to continue as an owner paired with Genstar’s decision to return as an owner is a powerful endorsement of our long-term strategy, our people and the strength of our business,” Ascensus CEO Nick Good said in a statement. Good took over as chief executive in October 2025 after joining the firm as president in 2023.
The new investment will go toward technology and AI, client service, and broader capabilities to support long-term growth, Good added. Ascensus has been on an acquisition streak. This August, it closed the purchase of AmericanTCS, adding trust and custody, pooled employer plan, and fiduciary services. It also expanded its small-business retirement offering, Ascensus Essentials, and launched a pooled employer plan for the nonprofit sector in June.
The firm operates under the same leadership team and client service model under the new ownership, it said.
J.P. Morgan Securities, Bank of America Securities, and Wells Fargo advised Ascensus on the transaction. Lazard Frères advised Stone Point. Morgan Stanley and Goldman Sachs advised Genstar.
