Fayerman, who chaired the audit committee, left for personal reasons and not because of any disagreement with the company on its operations, policies, or practices, Fort said.
Asaf Itzhaik, already a board member, took over as audit committee chair effective immediately. The company determined Itzhaik qualifies as financially literate under Canadian instrument NI 52-110 and as an independent director under Nasdaq rules and the Securities Exchange Act.
Ohad Melnik-Marom joined the board at the same time. He is an independent advisor focused on web payment methods. Previously, from 2019 to 2024, he served as a director of Formula Systems (1985) Ltd., listed on Nasdaq and the Tel Aviv Stock Exchange. Before that, he managed the payment methods department at iFOREX International Group and held management roles in logistics, technology, and financial services.
Fort Technology manufactures and sells amateur and professional products for the pest control and remedial repair industries. Its material subsidiary, Fort Products Limited, has operated in pest control since 2005. Melnik-Marom will hold office until the next annual shareholder meeting.
